Terms of Service
Please read these Terms of Service carefully before using TribeNest. By creating an account or using the Service, you agree to be bound by these Terms.
1. Scope & Applicability
These Terms of Service ("Terms") govern your use of the TribeNest platform, including the website at https://tribenest.co, the creator dashboard, the Mira AI agent, the mobile applications (where offered), and all related services (together the "Service"), operated by Couplements UG (haftungsbeschränkt), Kockhannstr 6, 10249 Berlin, Germany ("we", "us", "TribeNest"). By registering for an account or using the Service you agree to these Terms. If you do not agree, you must not use the Service.
2. Service Description
TribeNest is an all-in-one platform for creators and small businesses. The Service enables you to build and operate a creator business from a single account. Features include, depending on your subscription tier: - Website builder with your own domain, themes, and pages. - Online store for digital and physical products, including subscriptions. - Memberships and gated content with tiered access. - Online courses with modules, drips, quizzes, and progress tracking. - Email marketing with broadcasts, automations, and segmentation. - Social media scheduling and publishing across multiple channels (currently including Instagram, TikTok, Facebook, X, LinkedIn, YouTube, Threads, Pinterest, Bluesky, Mastodon, Reddit, Tumblr, Google Business, Telegram, WhatsApp; available channels may change). - Comment-to-DM automation and DM keyword flows. - AI-assisted replies for comments and DMs. - Live streaming and recorded video hosting. - Event ticketing and bookings. - Smart links (link-in-bio). - Unified inbox combining email, comments, and DMs. - Ad management and tracking for connected ad accounts. - Mira AI agent — see Section 9 for details. - Migration assistance for moving content from other platforms. - API access and data export. Feature availability depends on your plan and on the integrations you connect. We may add, change, or remove features. Where a change materially reduces the functionality you are paying for, we will provide reasonable notice.
3. Account Registration & Eligibility
You must be at least 16 years of age to create an account. You agree to provide accurate and complete registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at hello@tribenest.co if you become aware of any unauthorized use of your account. You are responsible for the activity of any team members you grant access to your account.
4. User Obligations & Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) upload or distribute content that is illegal, defamatory, hateful, sexually exploitative of minors, or that infringes third-party rights; (b) attempt to gain unauthorized access to any part of the Service or its systems; (c) use the Service to send spam, phishing, scams, or distribute malware; (d) resell access to the Service without our written consent; (e) interfere with or disrupt the integrity or performance of the Service; (f) attempt to reverse-engineer the Service or any models or systems behind it, except where such restriction is prohibited by applicable law; (g) use the Service to circumvent the terms of any third-party platform you connect (for example, by buying followers, posting platform-prohibited content via our scheduler, or evading rate limits); (h) operate the social automation features in a manner that violates the terms of service of Meta, Google, TikTok, X, or any other connected platform. You are responsible for your own connected accounts and for any suspensions or penalties imposed by those platforms.
5. Intellectual Property & Content Ownership
You retain all ownership rights to the content you create and upload to TribeNest. By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, display, transmit, back up, and distribute your content solely for the purpose of operating the Service and providing the features you have enabled (including the Mira AI agent, where activated). We do not claim any ownership over your content. The TribeNest name, logo, and platform code (where not open-source licensed) remain the intellectual property of Couplements UG.
6. Payment Terms
TribeNest offers free (self-hosted) and paid subscription plans. Paid plans are billed monthly or annually as selected at checkout. Payments are processed by Stripe. You may also connect your own payment gateway (Stripe, PayPal, or Paystack) to receive payments from your audience — TribeNest does not take any commission on these transactions. Subscription fees are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' notice. If you are on a free trial, you may cancel at any time before the end of the trial without being charged.
7. Data Protection
We process personal data in accordance with our Privacy Policy (https://tribenest.co/privacy) and the EU General Data Protection Regulation (GDPR). By using the Service, you acknowledge that you have read and understood our Privacy Policy, including the sections on Mira AI processing and automated decision-making.
8. Platform as Data Processor
When you use TribeNest to collect data from your community members (e.g., membership sign-ups, purchases, form submissions, email subscribers), TribeNest acts as a data processor on your behalf, and you are the data controller. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining all necessary consents from your community members (for example, before adding them to email lists, sending automated DMs, or using their data in AI-generated content). We provide tools to help you fulfill data subject requests (access, deletion, export). A Data Processing Agreement (DPA) is available on request at hello@tribenest.co.
9. Mira AI Agent
Mira is an AI agent included with paid TribeNest plans (where activated). Mira reads data from your account and the integrations you connect, generates a daily business briefing, drafts content, surfaces anomalies, and proposes actions for you to approve or reject. How Mira works in plain terms: - Mira proposes — you approve. Nothing is sent to your customers, posted to your social channels, charged to your account, or changed in your settings unless you (i) explicitly approve the proposal, or (ii) have enabled auto-approval for a specific, narrow category of action (e.g., abandoned-cart recovery emails). You can disable auto-approval at any time. - Mira is powered by a third-party LLM provider (currently Anthropic, Claude models). When Mira processes your data, the relevant inputs are sent to the LLM provider over an encrypted connection. Your inputs and outputs are not used to train the underlying models. - Mira can be disabled in your account settings. When Mira is disabled, no data is sent to the LLM provider for AI processing. - Mira's availability depends on third-party LLM providers and is subject to occasional latency or interruption. We may swap providers, temporarily disable AI features, or change the underlying models. 10. AI Output Disclaimer
Mira's outputs (briefings, drafts, proposals, analyses, summaries, replies, marketing copy, forecasts) are generated by a Large Language Model and may be inaccurate, incomplete, biased, or unsuitable for a given context. You are solely responsible for reviewing, editing, and approving Mira's outputs before they are sent, published, charged, or otherwise acted on. In particular: - Mira is not a financial, legal, tax, medical, or other professional advisor. Outputs that resemble such advice must not be relied on as professional advice. - Mira's forecasts and revenue/conversion estimates are statistical guesses, not commitments. - Mira may occasionally generate content that infringes third-party rights or breaches a third-party platform's terms. You are responsible for ensuring that everything you publish or send complies with applicable law and the terms of the platforms you use. To the maximum extent permitted by law, we do not warrant that Mira's outputs will be accurate, error-free, or fit for any particular purpose, beyond the warranties mandated by mandatory consumer protection law.
11. Output Ownership & Training Data
Subject to applicable law and the terms of our LLM providers, you own the AI-generated outputs you create using Mira inside your account. You may use those outputs for any lawful purpose, including for commercial purposes related to your creator business. You are responsible for ensuring that your use of AI-generated outputs does not infringe the rights of third parties. No training on customer data: we do not use your business data, the contents of your account, your prompts to Mira, or Mira's outputs to train any TribeNest model. Our agreement with our LLM provider also prohibits the use of your inputs and outputs to train their underlying models. If we ever wish to use customer data to train a model, we will request explicit opt-in consent in advance.
12. Acceptable Use of AI & Automation
You agree not to use Mira or any automation features: (a) to generate or distribute content that is illegal, harassing, defamatory, hateful, deceptive, or that exploits minors; (b) to impersonate any person or entity, including making AI replies appear to be from a human in a context where that is misleading or unlawful; (c) to send unsolicited bulk messages, spam, scams, phishing, or other content that violates the terms of the platforms you have connected (e.g., Meta, TikTok, X, Google, Mailchimp); (d) to circumvent platform rate limits, evade bans or moderation systems, buy followers, or otherwise manipulate the third-party platforms you connect; (e) to generate content that infringes third-party intellectual property rights; (f) to make automated decisions with legal or similarly significant effects on your customers (such as automated denial of service, individualized pricing based on profiling, or credit/eligibility decisions) without complying with applicable law (including Article 22 GDPR); (g) to attempt to reverse-engineer, fine-tune, or extract the weights, system prompts, or training data of any model behind Mira; (h) to build a competing service on top of Mira's outputs. We may suspend or terminate access to Mira (or to specific automations) if we reasonably believe you have violated this Section, the platform terms of any connected service, or applicable law. We may also rate-limit or temporarily restrict AI usage in cases of suspected abuse or to protect platform stability.
13. Beta Features & Service Availability
Some features (including parts of Mira) may be offered as beta, preview, or experimental features. Beta features are provided "as is", may change or be removed at any time, and are not covered by any service-level commitments. Your feedback on beta features is welcome and may be used to improve the Service. We target high availability for the Service but do not guarantee uninterrupted operation. Scheduled maintenance, third-party outages (including LLM provider outages affecting Mira), and force majeure events may cause downtime. We will use reasonable efforts to communicate planned maintenance in advance.
14. Limitation of Liability
To the extent permitted by German law: (a) our liability for slight negligence is excluded, except in cases of injury to life, body, or health, or breach of essential contractual obligations (Kardinalpflichten); (b) in cases of breach of essential contractual obligations, our liability is limited to the foreseeable, typically occurring damages; (c) we are not liable for any indirect, incidental, or consequential damages, loss of profits, loss of data, lost revenue from missed automations, or reliance damages arising from your use of the Service or from Mira's outputs; (d) we are not liable for the acts of third-party platforms you connect (e.g., suspension of your Instagram account by Meta, demonetization by YouTube, or interruption of an LLM provider's service); (e) the Service is provided "as is" and "as available" without warranties of any kind beyond those mandated by law. Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, or any other liability that cannot be excluded or limited under applicable law (including the German Product Liability Act, Produkthaftungsgesetz).
15. Termination & Account Deletion
You may terminate your account at any time through your account settings or by contacting us at hello@tribenest.co. Upon termination, your data will be handled in accordance with our Privacy Policy. We may suspend or terminate your account if you violate these Terms, with notice where reasonably possible. Account deletion requests are subject to a 30-day cooling-off period during which you may cancel the deletion. After the cooling-off period, your data will be permanently deleted or anonymized, except where retention is required by law (e.g., tax records retained for 10 years under German fiscal law, § 147 AO).
16. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Berlin, Germany, to the extent permitted by law. Mandatory consumer protection laws of your country of residence remain unaffected.
17. Dispute Resolution
The European Commission provides a platform for online dispute resolution (ODR) at https://ec.europa.eu/consumers/odr/. We are willing to participate in dispute resolution proceedings before a consumer arbitration board in Germany. You may also contact us directly at hello@tribenest.co to resolve any issues.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic purpose of the invalid provision.
19. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may terminate your account before they take effect.
